This announcement is made by Huaneng Power International, Inc. (the “Company”) pursuant to Rule 13.09(1)&(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (“Hong Kong Listing Rules”). On 29 April 2008, the Company entered into an agreement (the “Transfer Agreement”) relating to the transfer of 100% interest in SinoSing Power Pte. Ltd. (“SinoSing Power”) with China Huaneng Group, pursuant to which the Company would acquire 100% interest in SinoSing Power from China Huaneng Group (the “Acquisition”). The Acquisition constitutes a connected transaction of the Company under the Hong Kong Listing Rules. Reference is also made to the Company’s announcement and circular dated 29 April 2008 and 10 May 2008, respectively.

The Acquisition has already been approved by China Huaneng Group in accordance with its internal procedures, as well as by the board of directors and shareholders of the Company and the relevant governmental authorities. All conditions precedent in the Transfer Agreement have been satisfied. In accordance with the Transfer Agreement, the Company has made an one-off payment of the consideration in full to China Huaneng Group.

Upon completion of the Acquisition, the generation capacity of the Company has increased by 2,670 MW on an equity basis.
